Les CGV sont applicables exclusivement à la vente en ligne des produits de The Fragrance Designers sur le site matière-premiere.com, (ci-après le site) dont l’accès est soumis à inscription.

Les CGV régissent exclusivement les contrats de vente en ligne des produits de The Fragrance Designers (ci-après vendeur professionnel) aux acheteurs ayant la qualité de consommateurs (ci-après consommateurs) et constituent avec la commande en ligne les documents contractuels opposables aux parties, à l’exclusion de tous autres documents, prospectus, catalogues ou photographies des produits qui n’ont qu’une valeur indicative.
Les CGV sont exclusivement applicables aux produits livrés aux consommateurs établis en France et/ou dans un pays membre de l’Union Européenne.

Le vendeur professionnel se réserve la faculté de modifier ses CGV à tout moment.
En cas de modification des CGV, les CGV applicables sont celles en vigueur à la date de la commande dont une copie datée à ce jour peut être remise à sa demande au consommateur.
2. 5. Clauses des CGV
La nullité d’une clause contractuelle n’entraîne pas la nullité des CGV. L’inapplication temporaire ou permanente d’une ou plusieurs clauses des CGV par le vendeur professionnel ne saurait valoir renonciation de sa part aux autres clauses des CGV qui continuent à produire leurs effets.

Les produits offerts à la vente présentés dans le catalogue publié sur le site font chacun l’objet d’un descriptif mentionnant leurs caractéristiques essentielles au sens de l’article L. 111-1 du code de la consommation.

Les produits sont conformes aux prescriptions en vigueur relatives à la sécurité et à la santé des personnes, à la loyauté des transactions commerciales et à la protection des consommateurs au moment de leur mise sur le marché. 3. 4. Disponibilité des stocks
Les produits sont offerts et livrés dans la limite des stocks disponibles.
En cas d’indisponibilité du produit commandé, le vendeur en informe immédiatement l’acheteur et peut lui proposer un produit d’une qualité et d’un prix équivalents ou, à défaut, un bon d’achat du montant de la commande utilisable pour toute prochaine commande.
En cas de désaccord de l’acheteur, le vendeur procède au remboursement des sommes versées dans un délai de 5 jours ouvrés.
En dehors du remboursement du prix du produit indisponible, le vendeur n’est tenu à aucune indemnité d’annulation, sauf si l’inexécution du contrat lui est personnellement imputable.

Les prix de vente, conformément à l’article L. 112-1 du code de la consommation, sont indiqués, pour chacun des produits figurant dans le catalogue électronique, en euros toutes taxes comprises, hors frais de livraison et de transport mentionnés avant validation de la commande et facturés en supplément.
Le montant total dû par le consommateur est indiqué sur la page de confirmation de commande.
Le prix de vente du produit est celui en vigueur au jour de la commande.
En cas de promotion par les prix, le vendeur professionnel s’engage à appliquer le prix promotionnel à toute commande passée durant la période de la publicité faite pour la promotion.
4. 2. Modification
Le vendeur professionnel se réserve le droit de modifier ses prix à tout moment, tout en garantissant au consommateur l’application du prix en vigueur au jour de la commande.

Les frais supplémentaires de transport, de livraison ou d’affranchissement (auxquels il faut ajouter les autres frais éventuels supportés par le vendeur), dont le client a pu prendre connaissance avant la commande, sont fixés sur le bon de commande.
Article 5 – Offre
5. 1. Domaine
Les offres de vente en ligne présentées sur le site sont réservées aux consommateurs résidant en France et/ou dans un pays membre de l’Union européenne et pour des livraisons dans ces mêmes zones.

Les offres de vente en ligne présentées sur le site sont valables, à défaut d’indication de durée particulière, tant que les produits figurent dans le catalogue électronique et dans la limite des stocks disponibles.

L’acceptation de l’offre par le consommateur est validée, conformément au procédé du double clic, par la confirmation de la commande.
Article 6 – Commande
6. 1. Étapes de conclusion du contrat
Pour passer commande, le consommateur, après avoir rempli son panier virtuel en indiquant les produits sélectionnés et les quantités souhaitées, clique ensuite sur le bouton « Commander » et fournit les informations relatives à la livraison et au mode de paiement.
Avant de cliquer sur le bouton « Confirmer la commande », le consommateur a la possibilité de vérifier le détail de sa commande et son prix total et de revenir aux pages précédentes pour corriger d’éventuelles erreurs ou éventuellement modifier sa commande.
La confirmation de la commande entraîne acceptation des CGV et forme le contrat.
Un courrier électronique accusant réception de la commande et de son paiement est envoyé par le vendeur dans les meilleurs délais.
6. 2. Modification de commande
Toute modification de commande par le consommateur après confirmation de sa commande est soumise à l’acceptation du vendeur professionnel.
Le vendeur professionnel se réserve le droit d’apporter au produit commandé les modifications qui sont liées à l’évolution technique dans les conditions prévues à l’article R. 212-4 du code de la consommation.
6. 3. Validation de la commande
Le vendeur professionnel se réserve le droit de refuser toute commande pour des motifs légitimes et plus particulièrement si les quantités de produits commandés sont anormalement élevées pour des acheteurs ayant la qualité de consommateurs.
Article 7 – Contrat
7. 1. Conclusion
Le contrat de vente est formé au moment de l’envoi par le consommateur de la confirmation de sa commande.
7. 2. Archivage et preuve
L’archivage des communications, des bons de commande et des factures est effectué sur un support fiable et durable de manière constituer une copie fidèle et durable conformément à l’article 1360 du code civil (ancien C. civ., art. 1348). Ces communications, bons de commande et factures peuvent être produits à titre de preuve du contrat.
Article 8 – Paiement

Le prix est exigible en totalité après confirmation de la commande. Le paiement s’effectue immédiatement à la commande par carte bancaire.
8. 2. Sécurisation du paiement
Le site est doté d’un système de sécurisation des paiements en ligne permettant au consommateur de crypter la transmission de ses données bancaires via le serveur monétique de la plateforme de paiement sécurité. A aucun moment les données bancaires du consommateur ne transiteront par le système informatique de The Fragrance Designers.
Article 9 – Livraison

La livraison s’entend du transfert au consommateur de la possession physique du bien

Le vendeur professionnel traitera la commande dans les plus brefs délais du lundi au vendredi. The Fragrance Designers s’engage à expédier les commandes dans les 48h ouvrées suivant la validation de la commande.
9. 3. Délai de livraison
Votre commande sera remise à La Poste ou ses filiales (Lettre suivie, Colissimo,…) pour une livraison sous 2 à 3 jours en France Métropolitaine.
Les commandes à destination des DOM TOM ou de l’étranger seront expédiées également par La Poste ou ses filiales et remises par leur partenaire local. Les délais de livraison diffèrent selon région ou le pays de livraison.
9. 4. Retard de livraison
En cas de retard de livraison de plus de 5 jours ouvrés, le client devra en informer le service client de The Fragrance Designers qui mettra en œuvre les actions nécessaires et adaptées.
9. 5. Lieu de livraison
Les produits sont livrés à l’adresse indiquée par le client sur le bon de commande.
9. 6. Conformité des produits
Si le produit n’est pas conforme à la commande, le consommateur doit adresser une réclamation au vendeur professionnel en vue d’obtenir le remplacement du produit ou éventuellement la résolution de la vente.
9. 7. Transfert de propriété
À partir de la date de livraison indiquée dans le bon de commande, la propriété du produit est transférée à l’acheteur, sauf dans le cas où le paiement intégral du prix n’a pas été encaissé à la commande.
Article 10 – Retour de Produits et droit de rétractation
Le consommateur dispose d’un droit de retour de quatorze jours à compter de la réception de sa commande pour retourner tout article ne lui convenant pas et demander l’échange ou le remboursement à l’exception des frais de retour qui restent à sa charge.
Les retours sont à effectuer dans leur état d’origine et complets permettant leur recommercialisation à l’état neuf, accompagnés de la facture d’achat. Tout produit ouvert ou endommagé du fait du consommateur ne sera pas repris.
Le droit de rétractation peut être exercé en ligne à l’aide du formulaire de rétractation ou toute autre déclaration dénuée d’ambiguïté sur notre site Internet Si vous utilisez cette option, nous vous enverrons sans délai un accusé de réception de la rétractation sur un support durable (par exemple, par courriel).
Le droit de rétractation ne peut se faire valoir que si les produits sont retournés dans leur état d’origine, permettant leur re-commercialisation. En cas de rétractation The Fragrance Designers remboursera la totalité des paiements perçus. Soit par re-créditation de la carte bancaire ou du compte Paypal du consommateur, soit par virement bancaire en fonction du mode de paiement de la commande.

You acknowledge and agree that these Terms of Use constitute the complete and exclusive agreement between us concerning your use of the Site, and supersede and govern all prior proposals, agreements, or other communications.
Any claim or dispute between you and The Fragrance Designers that arises in whole or in part from the Site shall be decided exclusively before a Judge in a court of competent jurisdiction located in Paris. YOU WILL NOT HAVE THE RIGHT TO ELECT THAT A JURY DECIDES YOUR CLAIM. TO THE EXTENT PERMITTED BY APPLICABLE LAWS, ANY CAUSE OF ACTION ARISING OUT OF OR RELATED TO THE SITE MUST COMMENCE WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES. OTHERWISE, SUCH CAUSE OF ACTION IS PERMANENTLY BARRED. The preceding sentence is subject to Section 13.
YOU AGREE THAT YOU MAY BRING CLAIMS AGAINST US ONLY IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OF REPRESENTATIVE PROCEEDING.
YOU ACKNOWLEDGE THAT YOU HAVE BEEN ADVISED THAT YOU MAY CONSULT WITH AN ATTORNEY IN DECIDING TO AGREE TO THE TERMS OF THIS SECTION 20.
If any provision of these Terms of Use is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms of Use, which shall remain in full force and effect.
